TERMS AND CONDITIONS FOR EXECUTIVE
KREDAS INFRA SOLUTIONS INDIA PVT. LTD. a company duly organized and existing in accordance with the laws, represented in this act by its Owner/Manager, KREDAS INFRA SOLUTIONS INDIA PVT. LTD. hereinafter referred to as the Mr. MANTHRA of KREDAS INFRA SOLUTIONS INDIA PVT. LTD.
Mr. MANTHRA with the tag line “AT YOUR SERVICE” is a brand under the KREDAS INFRA SOLUTIONS INDIA PVT. LTD.
AND
WHEREAS, Executive manifests and guarantees that he/she possesses the requisite qualities and competencies needed by the MR. MANTHRA of KREDAS INFRA SOLUTIONS INDIA PVT. LTD. in the conduct and course of its business;
NOW THEREFORE, the parties hereby agree as follows:
- SCOPE OF TERRITORY
There is no specific place of work for the Executive. Executive can work from any place and procure the orders from any location where MR. MANTHRA of KREDAS INFRA SOLUTIONS INDIA PVT. LTD. Services are available.
- SCOPE OF SERVICES
MR. MANTHRA OF KREDAS INFRA SOLUTIONS INDIA PVT. LTD. Provides the various services that are listed in website mrmanthra. All the above said services will be done under name of the called “Mr. MANTHRA” with a tag line of “AT YOUR SERVICE”.
- DUTIES AND RESPONSIBILITIES OF EXECUTIVE
- 1.Promote and market the Company's products/services all over the world where MR. MANTHRA of KREDAS INFRA SOLUTIONS INDIA PVT. LTD. Services are available.
- 2. Solicit orders and negotiate contracts with customers on behalf of the Company.
- 3.Maintain and cultivate relationships with existing and potential customers to enhance services.
- 4.Conduct market research to identify potential clients and understand market trends.
- 5.Provide regular reports detailing sales activities, customer feedback, and market conditions.
- 6.Comply with all applicable laws, regulations, and industry standards.
- 7.Maintain confidentiality of all proprietary information and customer data.
- 8.Act as a representative of the Company within the limits of the authority granted.
- 9.Disclose any conflicts of interest that may arise.
- 10.Conduct business in a professional manner and uphold the reputation of the Company.
- 11.Participate in training sessions provided by the Company.
- 12.Provide feedback to the Company regarding product quality, customer preferences, and market opportunities.
- 13.Coordinate with the area franchise, district franchise and state franchise for early completion of the process.
- 14.Inform the senior executive and Executive manager about latest business deals and updates of ongoing business deals.
- Payment Terms
- 1)Remuneration Basis: Executive shall receive compensation on a commission basis for all the activities that had done. The commission rate will varies from service to service. That will be decided by company and it will be informed at the time of agreement.
- 2)Payment Schedule: Payments shall be made by MR. MANTHRA of KREDAS INFRA SOLUTIONS INDIA PVT. LTD. to Executive after the completion of business deal that Executive has acquired.
- 3)Currency: All payments shall be made in [Specify Currency, e.g., Indian Rupees (INR)].
- DECORUM
Executive shall observe and comply with all company rules and regulations written or otherwise. Executive shall devote his entire working time to the MR. MANTHRA OF KREDAS INFRA SOLUTIONS INDIA PVT. LTD. and shall have no direct or indirect interest in any firm or entity, whether for profit or not, directly in competition with or offering the same services as MR. MANTHRA OF KREDAS INFRA SOLUTIONS INDIA PVT. LTD. nor shall Executive take any interest that is conflicting or inimical to MR. MANTHRA OF KREDAS INFRA SOLUTIONS INDIA PVT. LTD.
- NON-COMPETITION AFTER TERMINATION
In the event Executive is separated or terminated from contract for whatever reason, he shall not seek contract in a local or foreign firm, nor establish or set up a business offering similar services for a period of one (1) year from date of separation or termination, without the prior notice to MR. MANTHRA OF KREDAS INFRA SOLUTIONS INDIA PVT. LTD.
- INTELLECTUAL PROPERTY
The MR. MANTHRA OF KREDAS INFRA SOLUTIONS INDIA PVT. LTD. shall be entitled to sole ownership of any intellectual property rights including but not limited to software programs, hardware specifications and other property rights created, developed and discovered by Executive while in the course of this contract with the Company, including all registrations for the same.
- NON-DISCLOSURE
Executive acknowledges and confirms that this contract must remain confidential. Except as may be legally required by competent authority or applicable statutes, the parties hereto shall not make any unauthorized disclosures of the terms and conditions embodied in this contract.
- CONFIDENTIALITY
In order to safeguard the Company’s interest and the confidentiality of its business and affairs, Executive agrees that during the term of this agreement and from and after the actual cessation of this agreement he shall maintain strict confidentiality and shall not disclose any technical, business, financial or commercial information, methods, processes, inventions (whether covered by intellectual property protection or not or whether marked confidential or not) including but not limited to: customers. customer lists or requirements, price lists, pricing structures, marketing and sales information, business plans or dealings, Executive s or officers, financial information, product lines, research activities, plans, designs and formula, whether authored by Executive or otherwise. Failure to comply with this confidentiality undertaking shall be construed and considered as gross Misconduct and shall be deemed a ground for the termination of this contract.
- UNDERTAKING
Executive shall work exclusively for the benefit of the company. Executive warrants that he shall comply with all his undertakings and obligations set forth in this Contract and shall indemnify MR. MANTHRA OF KREDAS INFRA SOLUTIONS INDIA PVT. LTD. of any actual losses, damages, costs and expenses, including attorneys’ fees incurred as a result of the breach of this Agreement or his willful act, omission, fraud or negligence.
- TERMINATION
MR. MANTHRA OF KREDAS INFRA SOLUTIONS INDIA PVT. LTD. reserves the right to terminate or cancel this Contract after observing due process for just or valid causes. Termination may be due to any. But not necessarily limited to the following:
- .Inefficiency;
- .Incompetence;
- .Tardiness;
- .Insubordination;
- .Breach of confidentiality and non-disclosure;
- .Violation of company’s intellectual property rights;
- .Other causes provided in the Company Rules and Regulations; and
- .Other analogous causes.
- ACCEPTANCE OF TERMS AND CONDITIONS
Executive ’s affixing of his signature on the herein contract means that:
- Executive has read and fully understood the terms and conditions hereof and accepts the same;
- The terms and conditions for the regularization have been clearly communicated to and accepted by him/her at the time of this engagement.
- MR. MANTHRA OF KREDAS INFRA SOLUTIONS INDIA PVT. LTD. Has the right to amend the terms and conditions if required by informing the Executive.
