Terms and Conditions of Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD for Inventory Partner

1. Supply of Goods/Inventory

1.1 INVENTORY PARTNER agrees to supply the products listed in Schedule A (the "Products") to Mr.
MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD as per the terms of this agreement.

1.2 The Products must meet all the quality and safety standards required by law and as specified by Mr.
MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD.

1.3 INVENTORY PARTNER agrees to ensure that adequate stock levels are maintained to fulfill orders
placed by Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD in a timely manner.

2. Order Placement and Delivery

2.2 INVENTORY PARTNER will ensure that all products are delivered to Mr. MANTHRA of M/S. KREDAS
INFRA SOLUTIONS INDIA PVT. LTD or directly to Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS
INDIA PVT. LTD’ customer within [number] days of the order being placed.

2.3 Failure to deliver the Products within the agreed time frame may result in penalties as specified.

3. Pricing and Payment Terms

3.1 The prices of the Products are outlined in website. INVENTORY PARTNER has to update the price
levels as per market. In case of failure Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD
will not bear the expenses or losses.

3.2 Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD will pay INVENTORY PARTNER
within [number] days of receiving an invoice for the Products delivered.

3.3 Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD reserves the right to withhold
payment for defective or non-conforming Products.

4. Returns and Defective Goods

4.1 Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD has the right to return any
defective, damaged, or non-conforming Products to INVENTORY PARTNER within [number] days of
receipt.

4.2 INVENTORY PARTNER will be responsible for the costs associated with the return and replacement of
defective goods.

5. Confidentiality

5.1 INVENTORY PARTNER agrees not to disclose any confidential information shared by Mr. MANTHRA
of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD, including but not limited to customer details, pricing
structures, and order volumes.

5.2 This confidentiality obligation will remain in place for the duration of the agreement and for

6. Liability and Indemnification

6.1 INVENTORY PARTNER agrees to indemnify Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA
PVT. LTD against any claims, damages, or losses arising from defects in the Products or the failure of
INVENTORY PARTNER to deliver the Products on time.

6.2 INVENTORY PARTNER is responsible for ensuring that its products comply with all legal
requirements, and Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD shall not be held
liable for any breaches of regulatory standards.

7. Termination

7.1 Either party may terminate this agreement by providing [number] days; written notice.

7.2 Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD reserves the right to terminate
the agreement immediately if INVENTORY PARTNER fails to comply with any material term of this

7.3 Upon termination, INVENTORY PARTNER agrees to fulfill any outstanding orders at the agreed-upon
prices.

8. Dispute Resolution

8.1 Any disputes arising out of or related to this agreement will first be resolved through negotiation
between the parties.

8.2 If the dispute cannot be resolved through negotiation, it will be submitted to arbitration in
Hyderabad, and the decision of the arbitrator will be binding on both parties.

9. Force Majeure

9.1 Neither party will be liable for any failure to perform its obligations under this agreement if such
failure is caused by an event beyond the party’s reasonable control, including but not limited to natural
disasters, war, or strikes.

10. Miscellaneous

10.1 Mr. MANTHRA of M/S. KREDAS INFRA SOLUTIONS INDIA PVT. LTD. has the right to alter Terms and
conditions at any time without any prior notice.

11. Governing Law

11.1 These Terms & conditions will be governed by and construed in accordance with in the laws of
India.

The penalties for INVENTORY PARTNER in case of late deliveries or other failures should be clear and
substantial enough to ensure compliance, but not overly punitive to the point of harming the business
relationship. Here are some potential penalty structures that Mr. MANTHRA of M/S. KREDAS INFRA
SOLUTIONS INDIA PVT. LTD could implement:

Schedule B: Penalties for Delayed Delivery and Non-Compliance

1. Late Delivery Penalties

.Grace Period: INVENTORY PARTNER will be allowed a grace period of [number] business days
after the scheduled delivery date before penalties are applied.

. Penalty per Day: For each day beyond the grace period that the delivery is delayed, INVENTORY
PARTNER will be subject to a penalty of [percentage]% of the total order value per day, up to a
maximum of [percentage]% of the order value.

.If the order is delayed by 3 days beyond the grace period and the penalty is 2% per day,
INVENTORY PARTNER would owe 6% of the order value as a penalty.

2. Cumulative Delays

right to return any defective or non-conforming Products to INVENTORY PARTNER at
INVENTORY PARTNER’s cost, including shipping.
